Terms of Service
Last updated August 2026
These Terms of Service (“Terms”) form a commercial agreement between you (the business customer) and TotalTally (“we”, “us”) for access to our cloud software, desktop and mobile apps, and optional professional services. By registering, activating a shop, downloading our apps, or paying for a plan or service, you accept these Terms on behalf of your organisation.
1. What we provide
TotalTally supplies business software and related services for retail and inventory operations in Zimbabwe, including:
- Point of Sale (offline-first desktop till, sync, receipts, and shift tools).
- Stocktaking (mobile counting, variance, and related cloud workspace).
- Fiscalisation options for VAT-ready shops (where enabled for your account).
- Company portal for shops, keys, billing, downloads, and configuration.
- Optional professional stocktaking / count services booked separately.
Features depend on the product bundle and plan you purchase. We may improve or adjust the platform over time; material commercial changes to paid plans will be communicated through the portal or email.
2. Accounts, shops, and access
- You must provide accurate business and contact details and keep them current.
- You are responsible for company admins, cashiers, counters, and anyone using your shop keys or codes.
- Shop IDs, activation keys, and join codes are confidential commercial credentials — do not share them outside your organisation.
- One commercial subscription covers the shops and entitlements stated on your plan; exceeding limits may require an upgrade.
3. Subscriptions, trials, and billing
- Software is sold on a commercial subscription basis (typically per shop / plan), billed through your company portal.
- Where offered, free trials or free setup periods are promotional and may convert to a paid plan when the trial ends unless cancelled.
- Fees are due in advance for the billing period shown at checkout. Taxes may apply where required.
- Payments are processed via Paynow and/or other payment methods we enable. Successful payment renews or activates your entitlement.
- You can upgrade, add shops, or manage billing from the portal. Downgrades take effect according to the current billing cycle rules shown at change time.
- If payment fails or a subscription lapses, cloud sync, portal features, mobile sign-in, and related online services may pause until renewal. Local offline data on your devices is retained under your control, subject to device storage.
- Professional stocktaking services are quoted and invoiced separately from software subscriptions unless we agree otherwise in writing.
4. Licence to use the software
We grant you a limited, non-exclusive, non-transferable, revocable commercial licence to use TotalTally solely for your internal business operations during an active paid (or valid trial) subscription. You may not resell access, sublicense the platform, reverse engineer our apps, scrape our APIs beyond permitted use, or remove proprietary notices.
5. Your data and content
Operational records you create (sales, stock, catalogues, reports, and related business data) remain your commercial property. You grant us a licence to host, process, transmit, and display that data as needed to provide the service, support, billing, security, and legal compliance. See our Privacy Policy for how we handle personal information.
6. Acceptable use
You agree not to:
- Use the service unlawfully, or to facilitate fraud, tax evasion, or unlicensed fiscal misuse.
- Attempt to access another company’s tenant, shops, or data.
- Disrupt, overload, or probe the service beyond normal commercial use.
- Upload malware or content that infringes third-party rights.
- Misrepresent your business identity for payment, fiscal, or onboarding purposes.
We may suspend access where we reasonably believe these Terms are breached or your account poses a security or payment risk.
7. Third-party and regulatory services
Fiscalisation and payment rails depend on third parties (for example ZIMRA FDMS pathways and Paynow). Their availability, rules, and fees are outside our sole control. You remain responsible for VAT registration, fiscal compliance, and accurate commercial records required by law.
8. Professional services
Where you book a stock count or implementation assistance, the scope, timing, site access, and fees will be confirmed before work starts. You will provide safe access, catalogue context, and a responsible contact on site. Delays caused by missing access or incomplete preparation may affect scheduling and charges.
9. Availability and support
We aim for reliable cloud uptime. Desktop and mobile apps are designed to keep selling and counting when connectivity is limited; sync resumes when online. Support is provided commercially via the channels published on our Contact page during business hours unless a separate support agreement applies.
10. Intellectual property
TotalTally branding, software, documentation, and platform design remain our intellectual property (or that of our licensors). Feedback you provide may be used to improve the product without obligation to you.
11. Warranties and liability
The service is provided on a commercially reasonable basis. Except where the law requires otherwise, we do not warrant uninterrupted or error-free operation. To the fullest extent permitted by applicable law, our aggregate liability arising from these Terms or the service in any twelve-month period is limited to the subscription fees you paid us for the affected service in that period. We are not liable for indirect, consequential, or lost-profit damages, or for losses arising from your network, devices, staff misuse, or third-party payment/fiscal systems.
12. Termination
You may stop using the service and cancel renewal from the portal according to the billing rules in effect. We may terminate or suspend for non-payment, material breach, or legal risk. After termination, online access ends; you should export reports you need while you still have access. We may delete dormant tenant data after a commercially reasonable retention period unless law requires longer storage.
13. Changes to these Terms
We may update these Terms for product, commercial, or legal reasons. The “Last updated” date will change when we do. Continued use after notice constitutes acceptance of the revised Terms for future periods.
14. Governing law
These Terms are governed by the laws of Zimbabwe. Courts in Zimbabwe have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply to eligible individuals.
